ARTICLE III – BOARD OF DIRECTORS

ARTICLE III - BOARD OF DIRECTORS

SECTION 1 – Management

(A)  The management of the affairs, property, business and control, of policy is vested in the Board of Directors.

(B)  The Board may designate any club member to hold and store any club property. Upon request by the board, this designee must render any property to the next person that the board designates in a timely manner.

SECTION 2 – The Board of Directors shall be composed of the following:

(A)  The President, Vice-President, Secretary, Treasurer and each shall be allowed one vote.

(B)  There shall also be three (3) elected (or volunteered) Directors. The three (3) Board Positions shell come up for election every two years alone with the other officer post and each allowed one vote.

(C)  There can be two (2) alternate Board Members, to act and vote in full capacity, only at Board Meetings when a quorum is not present.

(D)  Optionally, the club membership may elect only the President, Secretary and Treasurer as Board Members until the Club reaches a membership total that warrants a full seven (7) person Board of Directors.

(E)   The Club shall elect a new Director to fill any unexpired term.

SECTION 4 – Board Meetings

(A)  The Board of Directors shall meet monthly on the third Saturday of the calendar year.

(B)  If some other form of media is available to the board (like email) then the meetings can be a virtual meeting and the need for a physical meeting place can be ignored.

(C)  The President my call upon requests a meeting at any time and places that he/she designate. This meeting must be in writing, and thirty percent (30%) of the board must agree.

(D)  Notice of all meetings of the Board of Directors shall be sent by phone, mail or email to each member of the Board, at his/her last known address, at least seven (7) days in advance of each meeting.

(E)   Two thirds (2/3) of the Board shall constitute a quorum.

SECTION 5 – Board of Directors duties

(A)  The Board shall assure that a complete records of all its proceedings be taken and kept by the Secretary. Those records shall be open to inspection of a duly qualified member during any Board or open meeting.

(B)  The Board may adopt rules not in conflict with provisions of these by-laws for the orderly conduct of the monthly and special meeting of the Club.

(C)  The Board shall have the right to terminate the membership of any club member for good cause by a three fourths (3/4) vote of the Board of Directors at a meeting at which a quorum is present.

(D)   Upon terminating membership, the dues paid for the unearned period shall be refunded.

(E)   Before any membership can be terminated, notice in writing must be given at least ten (10) days in advance of the meeting at which the termination is to be considered and shall be given to the club member involved. Such notice shall contain the reason thereof.

SECTION 8 – Any member

(A)  Any member volunteering the termination of his membership may obtain a “leave of absence”.

(B)  Any Board Member, or alternate Board Member, missing more than two (2) Board meetings shall be dropped from the Board.
