ARTICLE I – NAME PURPOSE AND OFFICERS

SECTION 1. — The name of this Club shall be: “SIERRA ROTORCRAFT CLUB”.
SECTION 2– This organization is formed for the purpose of organizing and promoting an interest in Helicopters; the construction of Home Built Helicopters; raising of the standard of Home Built Helicopters and encouragement of a closer personal relationship among Helicopter Builders, Owners and lovers of rotorcraft.

  • To give aid and support to every type of activity concerning Helicopters.
  • To assist and encourage the sponsorship of Helicopter meetings, events, construction, shows and seminars. To encourage a better understanding of the Federal Aviation Administration rules and laws as well as the National Transportation and Safety Board rules and laws. Assist in the training of Pilots and any other activity which will further the general purposes hereof.
  • To assist and encourage the building, maintenance and supervision of Helicopter Pads, landing sites including private, County, City, State, Federal and the rights of way thereof.
  • To assist and encourage the writing and publishing of articles of safety, construction tips, pilot tips and all general purposes hereof.
  • To sponsor legislation and to do any and all things in the furtherance of the interest of Helicopters and their Pilots.

SECTION 3. — The administrative officers shall consist of: President, Vice President, Secretary, Treasurer and three elected persons to serve on the Board of Directors. The reference to three elected persons can also be filled by volunteers. It was suggested that at least one of the Director positions be a regional position.

ARTICLE II - SEAL

SECTION 1. — The Club shall have a Club Seal, which shall be a scene consisting of, a mountain with snow on top and a Helicopter below rounded over the top with the words Sierra Rotorcraft Club. It will appear on a blue background with white border. The Seal will be included at the heading of the front page of the by-laws as featured on the cover page of the Club newsletter.

ARTICLE III - BOARD OF DIRECTORS

SECTION 1. — The management of the affairs, property, business and control, of policy is vested in the Board of Directors.

SECTION 2. — The Board of Directors shall be composed of the following:

  • (A) The President. Vice-President. Secretary. Treasurer and each shall be allowed one vote.
  • (B) Three elected (or volunteered) Directors, each of. The three (3) Board Positions shell come up for election every third year; one being elected each year with each allowed one vote. Also, two (2) alternate Board Members, to act and vote in full capacity, only at Board Meetings when a quorum is not present.
  • (C) No two (2) members of the same household may be on the Board of Directors. This by-law is now rescinded.
  • (D) Optionally, the membership may elect only the President, Secretary and Treasurer as Board Members until the Club reaches membership totals that warrant a full seven (7) person Board, of Directors.

SECTION 3. — The Club shall elect a new Director to fill any unexpired term. Sierra Rotorcraft Club.

SECTION 4. — Board Meetings.

  • (A) The Board of Directors shall meet monthly on the third Saturday of the calendar year. It shall also meet on call of the President at such times and place as he/she may designate and may be called to meet upon request, in writing, by thirty percent (30%) of the members of the Board. and notice of all meetings of the Board of Directors shall be sent by phone, mail or email to each member of the Board, at his/her last known address, at least seven (7) days in advance of each meeting.
  • (B) Two thirds (2/3) of the Board shall constitute a quorum.

SECTION 5. — The Board of Directors shall assure that a complete record of all its proceedings be taken and kept by the Secretary. Those records shall be open to inspection of a duly qualified member during any Board or open meeting.

SECTION 6. — The Board of Directors may adopt rules not in conflict with provisions of these by-laws for the orderly conduct of the monthly and special meeting of the Club.

SECTION 7. — The Board of Directors shall have the right to terminate the membership of any club member for good cause by a three fourths (3/4) vote of the Board of Directors at a meeting at which a quorum is present. Upon terminating membership, the dues paid for the unearned period shall be refunded. Before any membership can be terminated, notice in writing must be given at least ten (10) days in advance of the meeting at which the termination is to be considered and shall be given to the club member involved. Such notice shall contain the reason thereof.

SECTION 8. — Any member volunteering the termination of his membership may obtain a “leave of absence”.

SECTION 9. — Any Board Member, or alternate Board Member, missing more than two (2) Board meetings shall be dropped from the Board.

ARTICLE IV – OFFICERS

SECTION 1. — Election of officers:

  • (A) Election of officers will be held at the monthly Membership meeting on the third Saturday in the month of January each year.
  • (B) The Club shall have a President who shall be elected by a majority of the votes cast at the January meeting of the Club. In order to qualify for the office of President, a nominee must have been a member in good standing for a period of one (1) year immediately preceding the monthly meeting.
  • (C) The President shall preside at all meetings of the Club. He/she shall be a member, ex officer, of all regular and special. Committees and shall perform such duties and exercise such other powers as are usually incident to such office. In the absence of by-law or rule herein, Robert’s Rules of Order will prevail.
  • (D) The President may sign checks along with the Treasurer.
  • (E) No individual shall serve as President of this Club for more than two (2) consecutive years.

SECTION 2. — A Vice-president shall be elected at the same time and in the same manner as the President is elected. The duties of the Vice-president will be to perform the duties of the President in his/her absence or inability to serve as the President.

SECTION 3. — The Club shall have a Secretary and a Treasurer who are elected in the same manner as the President and the Vice-president.

SECTION 4. — The Secretary shall keep a complete and accurate record of all proceedings of the Club and the Board of Directors. He/she shall have possession of these records, attend to the proper publication of all reports, conduct official correspondence, attest documents, perform such other duties as are usual to such office, or as may be required by this Club, the President, or by the Board of Directors.

SECTION 5. — The Treasurer shall have custody of all moneys of the Club and shall keep a regular book of accounts. He/she shall disburse the funds of the Club in payment of just demands against the Club, after approval by the general membership, and shall render to the monthly meeting of the Club and regular club meetings from time to time as may be required of him/her, an account of all his/her transactions as Treasurer. He/she shall perform all the duties incident to his/her office or which are properly required of him/her by the Board of Directors or general membership.

ARTICLE V – MEMBERSHIP

SECTION 1. — Membership qualification:
(A) The membership of this Club shall be open to any interested person of any’ age.

SECTION 2. — The annual dues will be $24.00 a year for each family within California; $12.00 a year outside of California. Midyear Membership is prorated at $2.00 a month within California and $1.00 a month out of state from the current month of the current year to December of the current year. New Year dues start in Jan ‘ January. Newsletters will continue to be sent to current members only. Cutoff date for nonpayment of dues will be 90 days or 3 newsletter issues.

SECTION 3. — Annual dues shall be payable in advance for a period of one (1) year; January 1st through December 31.

SECTION 4. — Club members shall not be liable to assessments or to payments of any amounts in addition to the dues provided for in the by-laws, except that by agreement of the majority of Club Members upon ways and means to raise funds via the treasury.

SECTION 5. — Only members in good standing may vote; each having one vote.

SECTION 6. — All Clubs, elections shall be by secret ballot on paper unless otherwise agreed upon.

ARTICLE VI – MEETINGS

SECTION 1. — The monthly meeting of this Club shall be held on the third Saturday on each month unless otherwise designated.

SECTION 2. — The monthly Board of Directors meeting will be held as indicated in previous Article.

SECTION 3. — Regular Club meetings will be held the third Saturday of each month at a place determined by the general membership at an earlier meeting. A change of date and location may be determined by a vote of the General Membership. Proper posting of each meeting shall be posted in the newsletter by the newsletter editor.

ARTICLE VII - STANDING COMMITTEES

SECTION 1. — Except as otherwise herein provided, the President shall appoint when necessary the standing or continuous committees and such special or subcommittees as he/she or the Board of Directors may find necessary. The President shall appoint the officers of all committees.

  • (A) NOMINATING COMMITTEE: The duties of the nominating committee shall be: (1) ~ The nomination of candidates for the chairs and the Board of Directors; may be completed either by the nominating committee or from the floor.
  • (B) RULES COMMITTEE: There shall be a Rules Committee of seven (7) members appointed at least thirty (30) days prior to the annual Board of Directors and General Membership meeting to which shall be referred all proposed changes in the rules dealing with the function of and the by-laws of the Club for which the Club is entitled and does make rules.
  1. The committee shall report its recommendations on all matters referred to it during the monthly Board of Directors and General Membership meeting for consideration and action at that monthly meeting.
  2. All proposed rule changes/by-law changes shall be referred in writing to the rules committee and printed in the newsletter for opinions or rejections. Opinions or rejections will be submitted in writing to the Board for further discussion.
  3. All amendments to the by-laws become affective 30 days from the posting in the newsletter.

(C) SHOWS COMMITTEE: There shall be a Helicopter Show Committee consisting of five (5) members. The duties of this committee will be to plan and put on, with the Board of Directors approval, all Helicopter shows during the year. (a) Revolving Trophy Committee. There shall be a revolving trophy committee to administer and present the annual awarding of the revolving trophy, as described in resolution dated April 17th, 1999. Resolution and Rules are attached herein.

ARTICLE VIII – FINANCE

SECTION 1. — The moneys of the Club shall be deposited in the name of the Club in such bank or banks as the Board of Directors or Treasurer shall designate and shall be drawn out only by check signed by the Treasurer or the Treasurer and President.

SECTION 2. – The fiscal year of this Club, shall begin on the first day of January unless otherwise provided by these by-laws.

SECTION 3. — A budget for the fiscal year shall be prepared by the Treasurer and submitted to the Board of Directors at its, first meeting of the fiscal year for approval. The budget shall be reviewed and, if necessary, adjusted at each subsequent meeting by the Board of Directors. Expenditures in each classification shown in the budget shall be within reasonable limits thereof.

SECTION 4. — The Board of Directors of General Membership may appoint three of its members to examine the books of accounts of the Club.

ARTICLE IX - CORPORATION TERMINATION
SECTION 1. — Should this Club ever terminate its existence, all moneys above debts shall be given to the Membership that are paid and in good standing. This will be done on the date of official termination within the year of termination.

  • (A). All Club properties and real properties shall be sold to the highest bidder within one (1) year of the termination of the Club.

ARTICLE X – AMENDMENTS

SECTION 1. — These items are repetitive. Article X is hereby rescinded. Attachment to BY Laws. This attachment is herein posted for permanence.
REVOLVING TROPHY — Be it resolved: There will be a revolving trophy will be given each year to a recipient that is present at the Annual Sierra Rotorcraft, Western States Fly-in and has a flying helicopter that has been selected by a Revolving Trophy award committee, appointed by the Reigning Board of Directors at that Fly-in. The recipient must demonstrate that the helicopter will operate by at least one pass around the airfield then being used or hovering along a taxi way during the Fly-in for the year the presentation is made.

Justification — WHERE-AS: A revolving trophy was presented and awarded in the past without Sierra Rotorcraft Club guidance or approval and Sierra Rotorcraft Club desire’s to have an award called REVOLVING TROPHY; Therefore be it resolved; That, The award master (Revolving) trophy will be given for a period of time, (one year Approx.) to a participant, to be returned at the following Western States Fly-In. At which time a smaller replica of the original will be given in exchange. The name of the last recipient will be engraved on the master trophy. The master trophy should be returned early enough for the engraving to take place before the next Western States Fly-In.

RULES — A judging committee of no less than 3, picked from the attending members of the Sierra Rotorcraft club, will be commissioned to select an outstanding helicopter as judged using their best judgment with the following out line.

1. The Helicopter must be in flying condition.
2. It must be of the Experimental category.
3. It must have been built or rebuilt by the recipient owner.
4. It must have been completed in a workman ship like manor.
5. It will be on display at the western States fly-In.
6. Extra credit will be given for exterior excellence. Interior. Excellence.
7. 60% will be judged on pride of ownership.
8. Innovative design, Design improvement, new ideas
